Terms of Service for Sidekick Translate

1. Agreement to Terms
By downloading, installing, or using the Sidekick Translate application ("App," "Service") provided by Ascenso Labs LLC ("we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, then you may not access the Service.
2. User Accounts
To access the full features of the Service, you must register for a user account. When you create an account, you agree to provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
3. User Conduct and Account Limitations
You agree not to misuse the Service or help anyone else to do so. This includes, but is not limited to, attempting to circumvent our registration or security features.
To prevent fraud and abuse, we associate a secure, anonymous device identifier with each account upon successful verification. An individual device may not be used to create more than three (3) verified user accounts. We reserve the right to block the creation of additional accounts from a device that has reached this limit. If you believe your device has been blocked in error, please contact our support team.
4. Description of Service
Sidekick Translate provides machine-powered translation services. The Service offers two primary modes:
- On-Device Translation: A privacy-focused feature that processes translations directly on your device. This feature requires a compatible device.
- AI Translation: An advanced, cloud-based feature that may provide more nuanced translations. Use of this feature requires a sufficient balance of "Tokens" associated with your account.
5. License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes on a device that you own or control.
6. Purchases and Tokens
Access to certain features requires in-app purchases, which are linked to your user account.
Tokens: Use of the AI Translation feature consumes "Tokens." Tokens are purchased in packs and are managed within your user account. Tokens have no monetary value, are not redeemable for cash, and are subject to expiration as detailed at the time of purchase.
One-Time Unlock for On-Device Translation: You may gain perpetual access to the On-Device Translation feature by reaching a cumulative spending threshold on in-app purchases. This access is linked to your account and is contingent on the continued availability of the necessary underlying technology from third parties (e.g., Apple).
7. Privacy
Our collection and use of personal information in connection with the Service is described in our Privacy Policy.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS." YOU USE THE SERVICE AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY TRANSLATIONS. MACHINE TRANSLATION IS INHERENTLY IMPERFECT AND SHOULD NOT BE RELIED UPON FOR CRITICAL OR SENSITIVE COMMUNICATIONS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASCENSO LABS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, RESULTING FROM YOUR USE OF OUR SERVICES.
10. Changes to Terms
We reserve the right to modify these Terms at any time. If a revision is material, we will provide notice. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
11. Governing Law
These Terms shall be governed by the laws of the State of Virginia, United States, without regard to its conflict of law provisions.
